Terms of Service

1.Who these terms are with

SupaCortex is operated by Great Developers Info Tech Pvt Ltd, a company registered in India with its office at C 110, Sector 65, Noida 201301, Uttar Pradesh ("we", "us", "SupaCortex").

By accepting an order or trial, signing in, or using any part of the service, you agree to these terms on behalf of yourself and the organisation you represent ("you"). If you do not agree, do not use the service.

2.The service

SupaCortex is a hosted platform that indexes documents and other content you provide or connect, and generates answers, search results and reply drafts from that content through a chat widget, a team chat, help desk integrations and an API. The features available to you depend on your plan, as described on our pricing page or in your order form.

Workspaces are created by our team; there is no self-service sign-up. A trial workspace runs for 14 days unless we agree otherwise in writing.

We may add, change or remove features. Where a change materially reduces the functionality of your plan, we will give you at least 30 days' notice and you may cancel for a pro-rata refund of any prepaid, unused period.

3.Your account

You are responsible for the accuracy of your account details, for keeping credentials and API keys secure, and for all activity that occurs under your workspace.

You must tell us promptly if you believe an account or API key has been compromised. We may suspend access where we reasonably believe the workspace is being used to breach these terms or to harm the service or others.

• You must be at least 18 years old and able to enter into a binding contract.
• One person may not share a single user seat with another person.
• You are responsible for the conduct of the users you add to your workspace, and for who you allow to use any widget or API integration you deploy.

4.Your content

"Your content" means the documents, files, web pages, feeds, past support conversations, questions, chat conversations and other material you upload, connect or send to SupaCortex, and the answers and drafts generated from it. You keep all rights in it. We claim no ownership.

You grant us a limited licence to host, store, copy, parse, index, embed, transmit and display your content for the sole purpose of operating the service for you - including generating answers, citations and drafts within your own workspace. This licence ends when you delete the content or your workspace is deleted.

We do not use your content to train, fine-tune or improve AI models, whether ours or anyone else's.

You are responsible for having the rights to the content you connect and store, including any personal data in it, and for deciding which content each project contains and who can ask it. If you place internal content in a project that answers a public widget, that content can be quoted to the public.

5.AI-generated answers

Answers, summaries and drafts are generated by language models from your content. They can be incomplete, out of date or wrong, even when they cite a source, and a source can itself be wrong.

You are responsible for reviewing AI output before relying on it, and for any reply, decision or action you or your users take based on it. Reply drafts are suggestions; SupaCortex does not send them to your customers. Actions in your own systems run only after the user confirms them.

Do not use SupaCortex as the sole basis for medical, legal, financial or safety-critical decisions. We do not warrant that any AI output is accurate, complete or fit for a particular purpose.

6.Acceptable use

You may not use SupaCortex to do any of the following, or to help anyone else do them:

• Upload, connect or generate content that is unlawful, infringing, defamatory, or that discloses personal data you have no right to process.
• Attempt to gain unauthorised access to the service, another customer's workspace, or the underlying infrastructure.
• Use the service to extract our models, prompts or system behaviour, or to build a competing service.
• Circumvent plan limits, AI credit metering, rate limits or seat counts by technical means.
• Resell or provide the service to third parties except under a written partner agreement with us.
• Point feeds or connectors at systems you are not authorised to access.

7.Fees, AI credits and payment

Fees are as set out on our pricing page or in your order form, and are exclusive of taxes. Subscriptions renew automatically for the same term unless cancelled before the renewal date.

Each plan includes a monthly allowance of AI credits. Unused plan credits expire at the end of each billing period. Purchased credit packs never expire. When credits run out, answering pauses until credits are added; it is not billed as overage unless your order form says so.

Upgrades take effect immediately and are charged pro rata. Downgrades take effect at the end of the current billing period and never delete content. Late payment may result in suspension after written notice.

Our refund position is set out in the Refund Policy, which forms part of these terms.

8.Availability and support

We aim to keep SupaCortex available at all times but do not guarantee uninterrupted service except where an uptime commitment is stated in an Enterprise order form.

We may carry out planned maintenance. Where it is likely to cause downtime we will give notice in advance through the status page and, for Business and Enterprise customers, by email.

Feeds and connectors depend on third-party services such as Google Drive, SharePoint, Confluence and your own APIs. We are not responsible for their availability or for changes they make.

9.Data protection

Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf as a processor, our Data Processing Agreement applies and is available on request.

We tell you where your workspace is hosted. We will not move your content to another hosting location without notice.

10.Confidentiality

Each party will keep the other's confidential information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

11.Intellectual property

We keep all rights in the SupaCortex platform, including its software, design, trade marks and documentation. Nothing in these terms transfers those rights to you.

If you send us feedback or suggestions, we may use them without obligation or compensation to you.

12.Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, the service is provided "as is" without further warranties, including any warranty about the accuracy of AI output.

13.Limitation of liability

Neither party excludes liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be excluded.

Subject to that, our total aggregate liability arising out of or in connection with this agreement is limited to the fees you paid in the 12 months before the event giving rise to the claim.

Neither party is liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss arising from reliance on AI output that you did not review.

14.Suspension and termination

You may cancel at any time by writing to us. Cancellation takes effect at the end of the current billing period.

We may terminate or suspend for material breach that is not remedied within 14 days of written notice, or immediately where the breach cannot be remedied or where continued use presents a security risk.

When a subscription or trial ends, the workspace becomes read-only: answering, the widget, the API and feeds stop, and your content stays in place. On request we will provide an export of your workspace within 30 days of termination. After that we delete it in line with our retention schedule.

15.Changes to these terms

We may update these terms. Where a change is material we will give at least 30 days' notice by email and by notice in the product. If you do not accept the change you may cancel before it takes effect and receive a pro-rata refund of any prepaid, unused period.

16.Governing law and disputes

These terms are governed by the laws of India. The courts at Noida, Uttar Pradesh have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.

Before starting proceedings, each party agrees to raise the issue in writing and to attempt resolution in good faith for 30 days.
